| We will be pleased to inform here our decision to create
a joint-venture in the area of anti-corrosion graphite equipments for domestic
chemical industries (hereinafter “Products”) and to sign Joint
Venture Agreement with Carbone Lorraine, over 100 years French industrial group,
worldwide leader on his markets (brushes and assemblies for electrical motors,
magnets, industrial fuses, anti-corrosion equipments, isostatic graphite solutions
and high energy braking components).
1. Purpose of the joint-venture
Anti-corrosion graphite equipments are mainly used to heat-exchangers, towers
and vessels, and so on for which anti-corrosion properties are required.
The domestic chemical engineering market for the Products has been contracting
due to slow economy or business shifting to overseas from the domestic
market after bursting the bubble economy. Adding to the situation, a couple
of competitors are coming to the Japanese market and competition has been
intensified. Accordingly, both parties reached the agreement to mutually
establish a new distribution company which distributes both parties’ products
being mutually supplied from any plant which can manufacture more competitive
products. The new company will contribute both manufacturing plants more
effectiveness. The joint-venture is foreseeing to involve full range of
the Products including production in the future.
2. Scope of the joint-venture
The new company, Nippon Carbon Lorraine Co., Ltd. (NCL), owned at equal share
by Nippon Carbon and Carbone Lorraine, is to be established. NCL will distribute
the relevant Products of both parties and target a turn-over about 1.2
billion yen for the start-up year. A working team composed by both parties
is working for the details of NCL and projecting to launch NCL in September
2005.
